Welcome to ShopDesk. These Terms of Service ("Terms") govern your access to and use of the ShopDesk platform, including our website at shopdesk.site, AI phone receptionist, SMS messaging features, and related services (collectively, the "Service"), operated by ShopDesk ("we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
ShopDesk is an AI-powered receptionist platform designed for independent auto repair shops. The Service includes:
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your business. By using ShopDesk, you represent that you meet these requirements.
To use ShopDesk, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at slarve@shopdesk.site if you suspect unauthorized access.
Program name: ShopDesk AI Receptionist Notifications
Description: ShopDesk sends transactional SMS messages including appointment confirmations, appointment reminders, and shop owner booking and emergency alerts. Messages are triggered by customer-initiated phone calls and booking events.
Message frequency: Varies based on booking activity. Customers typically receive 1-2 messages per appointment (confirmation and reminder). Shop owners receive one notification per booking or alert event.
Message and data rates may apply.
Opt-out: Reply STOP to any message to unsubscribe. You will receive one final confirmation message and no further messages will be sent.

ShopDesk complies with the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. We do not send unsolicited marketing SMS messages.
You agree not to use ShopDesk to:
Calls handled by the ShopDesk AI receptionist may be recorded and transcribed for service delivery, quality assurance, and dispute resolution purposes. Our AI informs callers at the start of each call that the conversation may be recorded. By using ShopDesk, shop owners consent to this practice and agree to ensure their use complies with applicable call recording laws in their jurisdiction.
ShopDesk integrates with third-party services including Google Calendar, Twilio, and Vapi. Your use of these integrations is subject to the respective terms of service of those providers. We are not responsible for the actions, content, or policies of third-party services.
Certain features of ShopDesk require a paid subscription. Pricing, billing cycles, and plan details are described at shopdesk.site. All fees are non-refundable except as required by law or expressly stated otherwise. We reserve the right to modify pricing with 30 days advance notice.
All content, software, and technology underlying the ShopDesk platform are owned by or licensed to ShopDesk and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
You retain ownership of any content you provide to ShopDesk (such as your shop's name, hours, and services). By providing this content, you grant us a non-exclusive license to use it solely to provide the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
ShopDesk AI is an automated system and may not handle every call scenario perfectly. We recommend that shops maintain alternative means of receiving calls and appointments.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOPDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless ShopDesk and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with or without notice. You may cancel your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Orange County, Florida.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
